SunshineCX LLC– Terms of Service

Effective Date: January 1, 2025

Welcome to SunshineCX LLC! These Terms of Service ("Terms") govern your use of services provided by SunshineCX ("SunshineCX," "we," "our," or "us"). By engaging with our services, you agree to be bound by these Terms.

1. Services

SunshineCX LLC provides consulting, advisory, and implementation services related to customer experience strategy, support operations, and systems design. The scope of work, timelines, and fees for any engagement will be outlined in a separate written agreement, proposal, or statement of work (SOW) mutually agreed upon prior to the start of services.

2. Client Responsibilities

To ensure a successful engagement, clients agree to:

  • Provide timely access to relevant information, team members, and systems necessary for the work.

  • Respond to requests for feedback and approvals in a reasonable timeframe.

  • Respect agreed-upon project scopes, timelines, and deliverables.

Failure to meet these responsibilities may impact the quality or timeliness of services.

3. Payment Terms

Unless otherwise specified in a written agreement:

  • Invoices will be issued according to the payment schedule outlined in your proposal or SOW.

  • Payment is due within 14 days of the invoice date.

  • Late payments may incur a late fee of 5% per month or the maximum amount allowed by law, whichever is less.

SunshineCX LLC reserves the right to pause or terminate services in the event of nonpayment.

4. Cancellations and Refunds

Clients may cancel services with written notice. If cancellation occurs after work has commenced, the client will be responsible for payment for services rendered to date. SunshineCX LLC does not provide refunds for completed work.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business processes, customer data, product information, and internal documentation.

6. Intellectual Property

Unless otherwise agreed in writing, any deliverables created by SunshineCX LLC during the engagement may be used by the client for their internal business purposes. SunshineCX LLC retains the right to showcase anonymized versions of work in portfolios or promotional materials unless otherwise restricted by a confidentiality agreement.

7. Disclaimer of Warranties

SunshineCX LLC provides services on an "as-is" basis and makes no warranties, express or implied, including but not limited to the fitness for a particular purpose or merchantability. We strive to deliver high-quality, professional services but cannot guarantee specific results.

8. Limitation of Liability

To the fullest extent permitted by law, SunshineCX LLC shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or revenue, arising out of or related to services provided.

9. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any disputes will be handled in the courts of Kings County, New York.

10. Changes to Terms

We reserve the right to update these Terms at any time. The most current version will always be posted on our website. Continued use of services after changes constitutes acceptance of the revised Terms.
